II. Service Content and Scope

1. Product Features and Service Architecture

Soiawork is an enterprise-grade AI agent platform (AIOS) independently developed by Shizai Intelligence. It aims to help enterprises build AI organizations and turn one-off, open-ended tasks into traceable, reusable and governable team task assets. Through the collaboration of large language models, an on-device execution engine, robotic process automation (RPA) and system connectors, the platform provides you with core service capabilities including, but not limited to:

Intelligent Conversation and Task Orchestration (Agent Desk): Based on large language model technology, this enables users to initiate multi-turn business interactions through natural language. The system can perceive task intent, intelligently break down complex steps and plan autonomously. It orchestrates and executes tasks by automatically scheduling controlled cloud sandboxes, on-device Worker devices and related tool services; the system records task instances (Job), generates task deliverables (Artifact), and retains execution traces (Event) that can be replayed throughout the entire process;

Workflow Collaboration and Reuse (Workflow): Supports rapid drafting through natural language, visual drag-and-drop node orchestration, parameter mapping configuration and trial-run validation, turning a single successful Agent task into a standardized workflow that can be handed over across teams, managed in multiple versions and rolled back;

Fully Automated Task Scheduling (Automation): Supports various triggering mechanisms, including scheduled triggers (Cron scheduled tasks), system event triggers, Webhooks, external APIs and instant messaging (IM) message integration, providing continuous task monitoring, automated operation, SLA assurance and immediate alerts for exceptions;

Knowledge Base and File Space (KnowledgeBase & File Space): Supports building a Knowledge Base by associating enterprise file spaces (Folder), including automated structured chunk parsing (Docling), Embedding vector indexing and intelligent retrieval augmentation (RAG) for documents in formats such as PDF, Word, Excel, PPT and plain text (TXT/MD/HTML), and provides precise evidence provenance and references to original file excerpts in generated answers;

On-Device Local Execution (Soia Worker): Provides desktop clients for operating systems such as Windows and macOS, as well as mobile Worker nodes, supporting hybrid execution capabilities within your authorized local device environment, including controlled execution of Python scripts, local file reading and writing, cross-application and desktop GUI process automation (RPA), and browser automation;

Ecosystem Integration and Connectors (Connectors & MCP): Provides standardized connectors to mainstream enterprise software systems (such as 钉钉, 飞书, 企业微信, e-commerce platforms and CRM/ERP), and fully supports the Model Context Protocol (MCP), OpenAPI and command-line (CLI) extensions, enabling cross-system command scheduling and data interoperability;

Open Platform and Developer API (OpenApp & Developer API): Provides enterprise-grade developer interfaces, secure API key management and tenant-based authentication mechanisms, enabling enterprises’ own business systems to call Soiawork as an underlying task perception and automation engine for secondary development.

2. Commercialization, Seats and Credit Rules

The Service uses a commercial metering model that combines seat subscriptions with Credit consumption. Users receive corresponding platform feature entitlements based on the tenant edition, number of seats and subscription term purchased;

Services involved in task execution, such as large model inference, multimodal processing and certain advanced tool calls, may consume Credits. The system deducts Credits in real time based on the actual volume of calls executed and the billing standards published by the platform; specific billing rules are subject to the latest pricing information published on the official website or product Console. Credits cannot be withdrawn, transferred or exchanged for cash and are non-refundable unless otherwise provided in this Agreement or the pricing information; their validity period is subject to the rules published at the time of purchase. We will publish adjustments to billing standards on the official website or Console, and adjustments will not apply retroactively to Credits already purchased that remain within their validity period;

You fully understand and agree that, for task failures not attributable to the platform caused by network abnormalities, third-party supplier interface failures or force majeure, Shizai Intelligence will verify the circumstances based on runtime logs and provide necessary Credit reversal compensation as appropriate, but shall not be liable for indirect economic losses beyond the value of the Credits deducted.

3. Service Changes, Interruptions and Termination

Shizai Intelligence remains committed to providing secure and stable services. However, to the maximum extent permitted by laws and regulations, Shizai Intelligence has the right to upgrade, adjust, suspend or terminate some or all features of the Service based on technological developments, business plans, product iterations or national regulatory compliance requirements. Shizai Intelligence will endeavor to notify you in advance through reasonable means such as official website announcements, in-service notices, client pop-ups or email; in the event of sudden technical failures, security incidents or mandatory regulatory orders, Shizai Intelligence reserves the right to suspend the Service urgently without prior notice.

III. Account, Organization and Permission Management

1. Registration and Login Methods

You may register and log in using a valid business email address, mobile phone number (including verification code authentication), or a third-party enterprise single sign-on method supported by the platform (SSO/OAuth). You must provide true, accurate, current and complete registration information; if your registration information changes, you must promptly log in to update it. You shall bear any legal consequences or service impediments resulting from false registration information or failure to update it promptly.

2. Organization and Tenant Management

The Service uses a multi-tenant isolation architecture. A Tenant (organization) is the basic unit for enterprise billing, resource isolation and data governance, while a workspace (Project) is the boundary for collaborative management within a tenant;

The tenant creator or a designated administrator (Owner / Admin) has the highest tenant management permissions, including, but not limited to, inviting or removing organization members, assigning roles and permissions (RBAC/ReBAC), configuring data and model access policies, managing credentials and API keys, viewing audit logs, and managing top-ups and settlements;

Administrators bear management responsibility for all members’ account operations, task authorizations and generated content under their tenants; members use the Service independently within the workspace and resource permissions granted to them and are responsible for their individual operational instructions.

3. Account and Credential Security Obligations

Your account may be used only by you or authorized members of your organization. Giving away, lending, transferring, selling, renting out or sharing accounts, passwords or API key credentials with others is strictly prohibited. You bear full legal liability for all actions and task results arising under the account and credentials;

You are responsible for taking necessary security measures to properly safeguard login passwords, dynamic verification codes, third-party system authorization credentials (OAuth Token) and OpenAPI access keys. If you discover account theft, password disclosure or unauthorized abnormal access, you must immediately notify Shizai Intelligence in writing and assist in blocking access or resetting credentials; Shizai Intelligence shall not be liable for direct or indirect losses caused by your improper safekeeping, disclosure of credentials or malware attacks against you.

4. Real-Name Verification and Compliance Review

In accordance with laws and regulations such as the Cybersecurity Law of the People’s Republic of China, the Anti-Telecom and Online Fraud Law of the People’s Republic of China, the Provisions on the Administration of Deep Synthesis in Internet Information Services and the Interim Measures for the Administration of Generative Artificial Intelligence Services, Shizai Intelligence has the right to require you to complete verification of your real identity information (real-name verification) in scenarios involving the use of certain sensitive features, deep reasoning by large models, commercial API access or large-value payment settlements. You undertake to actively cooperate by providing true, valid and compliant identity credentials and supporting documents; if you refuse verification or provide false materials, Shizai Intelligence has the right to refuse to enable, or to terminate at any time, the corresponding advanced services provided to you.

5. Account Closure and Data Cleanup

You or the tenant administrator may submit an application to close an account or tenant through “Account Settings” in the Console or official customer service channels;

Provided that the account has no outstanding disputes, no unfinished paid orders and no unresolved external disputes pending disassociation, Shizai Intelligence will complete the closure procedures within the statutory or committed period after identity verification (usually within 15 to 30 working days);

After closure is completed, except for audit records, financial invoices and other information that must be retained under national laws and regulations (such as the Cybersecurity Law requirement to retain system logs for at least six months), Shizai Intelligence will physically delete or apply de-identification and anonymization processing to the personal information, task data, workflow configurations and vector Knowledge Base under that account. Account closure is irreversible and data cannot be recovered. Please be sure to independently complete necessary offline data backups before applying for closure.

If the Service is terminated due to your violation, service fees and Credits actually consumed are non-refundable; unconsumed amounts will be handled in accordance with laws and regulations and published pricing rules. These measures do not affect our right to pursue your liability for breach of contract and claim damages in accordance with law.

VII. On-Device and Local Execution Security Terms (Soia Worker)

1. Explanation of the Local Operation Mechanism

You understand and confirm that the on-device Worker client provided by Soiawork allows the system, according to your explicit instructions or orchestrated workflows, to execute Python code parsing, local file system reading and writing, file format conversion, local application GUI operations and RPA processes on your local device:

Instruction-Driven Principle: All local file and application operations are executed strictly based on task instructions you actively initiate, workflow configurations or confirmed automation plans; the platform only provides tool-call communications and execution runtime assistance;

Allowlisted Directory Restrictions: The client provides configuration of the scope of local directory authorization. We strongly recommend that you strictly limit the working directories the Worker may access in system settings; the client will refuse file read/write requests outside authorized directories;

Mandatory Blocking of Critical System Paths: For critical operating system directories (including, but not limited to, the core Windows system directories C:\\Windows, System32 and Program Files, and underlying macOS system paths such as /System, /Library and /usr), Soia Worker implements a default blocking mechanism at the underlying level that strictly prohibits writing or deletion.

2. High-Risk Operation Warning

Local automation acts directly on the device’s file system. You should fully understand the high risks of the following operations and issue instructions prudently:

File Overwriting and Modification: Write and append operations may overwrite the original content of local target files without the ability to trace it back. Be sure to make offline backups of important original data before execution;

Risk of Bulk Deletion: File deletion or recursive directory cleanup may be irreversible. Be sure to carefully verify paths and wildcard rules before issuing bulk cleanup instructions;

Changes to Environment Variables and System Configuration: Instructions involving changes to the registry, system environment variables or startup items, or installation of system services, may affect system stability;

Batch Script Execution: Before large-scale batch processing, we strongly recommend trial-run validation using a single item or a small sample.

3. Allocation of User Responsibility

You bear full responsibility for the security environment of your local device, completeness of data backups, configuration of directory authorization scope and execution instructions you issue. Shizai Intelligence shall not bear legal liability for compensation, in accordance with law, for local file loss, system crashes, configuration damage or business data corruption caused by defects in your instruction design, failure to make local backups, misconfiguration granting access to overly broad system directories, or running unaudited scripts in an uncontrolled environment.

VIII. Third-Party Integration and Connector Terms

1. Credential Custody and Initiation of Authorization

When you configure and enable connectors, MCP plugins or integration services for third-party platforms (such as 钉钉, 飞书, 企业微信 or e-commerce backends):

You authorize Soiawork to securely hold the OAuth Access Tokens, API keys or connection parameters that you actively provide within the minimum necessary scope; the system uses industry-standard encryption algorithms (such as AES-256) to encrypt sensitive credentials at rest and store them in isolation. In addition, you must ensure that you have lawful rights to use and authorize access to the third-party systems and data you connect. You shall bear any third-party claims resulting from your failure to obtain necessary authorization;

All interactions with third parties are initiated in your own name and identity and within the scope of your authorization; you may revoke authorization or unlink a connection in the Connector Console at any time. After unlinking, the platform immediately destroys the corresponding decryption credentials.

2. Independent Responsibility for Third-Party Services

The availability, data protection policies and terms of service of third-party applications and services are independently determined by, and the responsibility of, those third parties. Shizai Intelligence bears no guarantee liability for automated task interruptions or data abnormalities caused by changes to third-party platform interfaces, service interruptions, withdrawal of permissions or third-party data leaks, but will actively assist you with technical troubleshooting and adaptation.

IX. Disclaimers and Limitation of Liability

1. “As Is” Principle

Except where otherwise mandatorily required by law, the Service is provided to you “As Is” and “As Available.” Shizai Intelligence makes every effort to maintain the platform’s security, stability and continuity, but is subject to objective factors such as the Internet environment, underlying cloud service infrastructure, the maturity of cutting-edge large language model technologies and force majeure. Shizai Intelligence makes no express or implied warranty that:

The Service will fully meet your specific commercial expectations or business requirements;

The Service will be entirely free of technical failures, network fluctuations, occasional interruptions or delays;

Output and generated data will be completely free of logical errors, defects or factual inaccuracies.

2. Liability Cap

To the maximum extent permitted by applicable law, whether based on breach of contract, tort (including negligence), strict liability or any other legal grounds:

Shizai Intelligence shall not be liable for any indirect, punitive, incidental, special or consequential business losses arising from the use of or inability to use the Service, including, but not limited to, lost profits, damage to business goodwill, data loss, losses from work stoppages or system failure costs;

The aggregate amount of all direct compensation liability of Shizai Intelligence to you shall under no circumstances exceed the total service subscription fees you actually paid to Shizai Intelligence for use of the Service during the twelve (12) months preceding the event giving rise to the damage; if you use a free trial version, Shizai Intelligence’s maximum compensation liability to you shall not exceed five hundred renminbi (¥500.00).

3. Force Majeure Exemption

If performance of the Service is delayed or impossible due to force majeure events (including, but not limited to, natural disasters such as earthquakes, fires, floods and storms; war, terrorist attacks, strikes or unrest; adjustments to national laws, regulations or industrial policies; government control orders; backbone network interruptions of basic telecommunications operators; widespread Internet outages; malicious hacker attacks or serious virus attacks), neither party shall be liable to the other for breach of contract. However, the affected party shall promptly notify the other party when conditions permit and make reasonable efforts to mitigate losses.

X. Changes to the Agreement and Notices

1. Change Mechanism and Publication

Shizai Intelligence has the right to update and revise this Agreement at any time based on changes in laws and regulations, business upgrades and technological developments. For matters for which the law requires your separate explicit consent again, such as a material expansion of the purposes of processing users’ personal information or a material adjustment to core billing rules, Shizai Intelligence will obtain your confirmation again through an explicit pop-up when you log in.

XI. Governing Law and Dispute Resolution

1. Governing Law

The formation, performance, interpretation, validity and dispute resolution of this Agreement shall be governed strictly by the laws of mainland People’s Republic of China (excluding conflict-of-law rules).

2. Court Jurisdiction for Disputes
